Terms of Engagement for Community Partners

A “Community Partner” refers to any health organization, not for profit or charitable organization, patient group, healthcare providers, or biotechnology company that has agreed to these “Terms of Engagement for Community Partners” of HealthUnlocked Holdings Limited (“HealthUnlocked”). This generally refers to partners who have a HealthUnlocked microsite as a “Community” within the website at healthunlocked.com (“Site”), for registered users of the Site (“Community Members”) to share health experiences and provide mutual support. These terms supplement any Service Agreement or other written agreement between Community Partner and HealthUnlocked (the “Agreement”).  


Community Partners agree to the following: 

  1. The standard online Community platform is free of charge to Community Members as well as not for profit and charitable organizations. If fees or charges for various services and features are payable by the Community Partner, they will be set forth in the Agreement, as applicable. 
  2. HealthUnlocked owns and controls the Site, including all Communities.  Your Community may contain some material, such as branding, which may be your intellectual property.  Community Partners have access to aggregated community data and features on the Site but do not own any user generated data. 
  3. Your Community may be branded with your choice of colors and logo, subject always to approval by HealthUnlocked. 
  4. A moderation team member is anyone who is moderating and/or supporting a HealthUnlocked community, for example, partners, administrators, and moderators (“Moderation Team Member”). The Community team provides customer support (via https://support.healthunlocked.com), advises your Moderation Team Members, if applicable, on best practices, and manages spam. Premium support, as well as extra features and services, may be offered separately under the Agreement. 
  5. Each Community Partner that is moderating its Community agrees to provide a safe, high-quality experience and encourage support and information-sharing among its Community Members. The Community Partner agrees to comply with all applicable law, industry standards for moderation, and all applicable codes of practice, including HealthUnlocked’s Code of Conduct for Moderation Team Member. Community Partner shall indemnify and hold harmless HealthUnlocked for any act or lack of action of a Moderation Team Member. 
  6. HealthUnlocked may, at its discretion, intervene to manage and/or moderate a Community when it believes it is in the best interests of the Community Members or the Site including, without limitation, where a Community Partner leaves a Community and  Community Members continue to connect with others experiencing similar health challenges. 
  7. HealthUnlocked and Community Partners must keep the Communities free of commercial intrusion by ensuring Community Members do not use posts or replies to advertise any product. Advertising controlled by HealthUnlocked may be used across the HealthUnlocked platform. Community Partners shall refrain from making any statements that could be considered promotion or advertising of medicines, particularly prescription only medicines. 
  8. When using Community features, Community Partners shall only promote campaigns that are ethical, compliant with all applicable laws, accurate and to improve health.  
  9. Community Partners shall verify the credentials of any Community Member who is presented as a Health Care Professional (“Experts”).  Community Partners shall ensure that the Expert’s insurance and qualifications are valid.  Assignment of an Expert badge is not an indication that HealthUnlocked has verified such credentials. 
  10. If a member has an Expert badge, such member’s contributions do not equate to medical advice, diagnosis, or treatment. HealthUnlocked, Moderation Team Members, and community members, including those with an Expert badge, do not provide medical advice, diagnosis, or treatment. 
  11. Community Partners agree that, in order to sustain the Site, HealthUnlocked works with organizations within the healthcare industry to support health research. Community Partner will not inhibit HealthUnlocked from sharing research opportunities on the Site. The Community Partner should reach out to the HealthUnlocked team to inform us of research they are supporting or running involving the HealthUnlocked Site and its members to discuss opportunities for HealthUnlocked to support this. Otherwise, the Community Partner is permitted to share research opportunities within their own community that comply with the following: 
  12. Must mention use of HealthUnlocked if it was used as a recruitment source or research tool; 
  13. Cannot infringe on the community health (e.g. posting so much it impacts the flow of user discussions on the community); and 
  14. Must abide by the EU General Data Protection Regulation (2016) and the UK General Data Protection Regulation (2018) (“GDPR”), local data protection laws, and any other applicable laws 
  15. HealthUnlocked and Community Partners acknowledge their roles as data controllers and represent to process personal data in compliance with the EU General Data Protection Regulation (2016) and the UK General Data Protection Regulation (2018) (“GDPR”), as well as applicable data protection laws. 

Community Partners are data controllers for any personal data that it processes for moderation purposes while HealthUnlocked is a data controller for all other purposes. In furtherance of the above, HealthUnlocked shall implement appropriate technical and organizational measures to protect personal data in accordance with the GDPR.  

HealthUnlocked shall act as primary source of contact and respond to data subject requests. HealthUnlocked shall inform Community Partners, and request their assistance in responding to a data subject request only to the extent that HealthUnlocked is unable to manage and respond to the data subject’s request without information which could only be provided by Community Partners. 

If a personal data breach occurs in relation to any subjects’ personal data processed in relation to this Agreement and it is likely that such breach poses a risk to an individual’s rights and freedoms (a “Reportable Breach”), HealthUnlocked will notify the relevant supervisory authority without undue delay and at the latest within 72 hours after having become aware of such breach. If such Reportable Breach poses a high risk to the affected individuals, then HealthUnlocked  shall also inform them, unless HealthUnlocked has put in place effective technical and organizational protection measures that ensure that the risk is no longer likely to materialize. HealthUnlocked shall notify Community Partners of any Reportable Breach after having become aware of such Reportable Breach. 

 

HealthUnlocked reserves the right to change these Terms of Engagement for Community Partners from time to time without notice. We encourage you to review these Terms of Engagement periodically to confirm your understanding of the latest version. Continued use of the Community and/or the Site is deemed to be your acceptance of any such changes. If you are not happy with the amended Terms of Engagement, you should stop using the Community and the Site.
